Item 5.02. Departure of Directors or Certain Officers; Election of Directors; Appointment of Certain Officers; Compensatory Arrangements of Certain Officers

On February 21, 2022, Packaging Corporation of America’s (“PCA”) director James D. Woodrum notified PCA that he will not stand for reelection to the board of directors at the 2022 annual meeting of stockholders. Mr. Woodrum will serve the remainder of his current term which expires on the date of the 2022 annual meeting of stockholders.
